END-USER LICENSE AGREEMENT FOR STEEMA SOFTWARE S.L.
IMPORTANT - READ CAREFULLY BEFORE INSTALLING THE SOFTWARE.
This End User License Agreement (this "EULA") contains the terms and conditions regarding your use of the SOFTWARE (as defined below) and material limitations to your rights in that regard. You should read this EULA carefully.
By installing the TeeChart for .NET software (hereinafter the "SOFTWARE"), you are accepting the following EULA.
I. THIS EULA
- Software Covered by this EULA.
This EULA governs your use of the Steema Software SL ("Steema") SOFTWARE enclosed either as part of a SOFTWARE installer or otherwise accompanied herewith. The term "SOFTWARE" includes, to the extent provided by Steema: 1) any revisions, updates and/or upgrades thereto; 2) any data, image or executable files, databases, data engines, computer software, or similar items customarily used or distributed with computer software products; 3) anything in any form whatsoever intended to be used with or in conjunction with the SOFTWARE; and 4) any associated media, documentation (including physical, electronic and online) and printed materials (the "Documentation").
- This EULA is a legal agreement between you and Steema.
If you are acting as an agent of a company or another legal person, such as an officer or other employee acting for your employer, then "you" and "your" mean your principal, the entity or other legal person for whom you are acting. However, importantly, even if you are acting as an agent for another, you may still be personally liable for violation of laws such as copyright infringement.
This EULA is a legal agreement between you and Steema. You intend to be legally bound to this EULA to the same extent as if Steema and you physically signed this EULA. By installing, copying, or otherwise using the SOFTWARE, you agree to be bound by the terms and conditions contained in this EULA. If you do not agree to all the terms and conditions contained in this EULA, you may not install or use the SOFTWARE. If you have already installed or begun to install the SOFTWARE you should cancel any install in progress and uninstall the SOFTWARE. If you do not agree to all of these terms and conditions, then you must promptly return the uninstalled SOFTWARE to the place from which you purchased it in accordance with the return policies of that place.
II. YOUR LICENSE TO DEVELOP AND TO DISTRIBUTE.
Detailed below, this EULA grants you three licenses: 1) a license to use the SOFTWARE to develop other software products (the "Development License");
The SOFTWARE is licensed to you on a Per Seat License basis.
The Development License means that one Developer may install two seats not to be used concurrently, performing a maximum of two installs of the SOFTWARE for use in designing, testing and creating Developed Software on two single computers with a single set of input devices, restricting the use of the SOFTWARE to a maximum of one concurrent seat. Conversely, you may not install or use the SOFTWARE on a computer that is a network server or a computer at which the SOFTWARE is used by more than one Developer. You may not network the SOFTWARE or any component part of it, where it is or may be used by more than one Developer unless you purchase an additional Development License for each Developer. You must purchase another separate license to the SOFTWARE in order to add additional developer seats if the additional developers are accessing the SOFTWARE on a computer network. If the SOFTWARE is used to create Developed Web Server Software, then you may perform a single install of the SOFTWARE for use in designing, testing and creating Developed Web Server Software by a single Developer on a single computer or Network Server. No additional End User Licenses are required for additional CPUs on the single computer or Network Server.
In all cases, you may not use Steema's name, logo, or trademarks to market your Developed Software without the express written consent of Steema; agree to indemnify, hold harmless, and defend Steema, its suppliers and resellers, from and against any claims or lawsuits, including lawyer's fees that may arise from the use or distribution of your Developed Software; you may use the SOFTWARE only to create Developed Software that is significantly different than the SOFTWARE.
- Your Distribution License.
License to Distribute Developed Desktop Software. Subject to the terms and conditions in this EULA, you are granted the license to use and to distribute Developed Desktop Software on a royalty-free basis, provided that the Developed Desktop Software incorporates the SOFTWARE as an integral part of the Developed Software in machine language compiled format (customarily an ".exe", or ".dll", etc.). You may not distribute, bundle, wrap or subclass the SOFTWARE as Developed Software which, when used in a "designtime" development environment, exposes the programmatic interface of the SOFTWARE. You may distribute, on a royalty-free basis, Redistributable Files with Developed Desktop Software only.
- Your Web Server License
Subject to the terms and conditions in this EULA, you are granted the license to use and to distribute Developed Web Server Software, provided that you must purchase one Web Server License for each Network Server operating the Developed Web Server Software (and/or Redistributable Files called or otherwise used directly by the Developed Web Server Software). Notwithstanding the foregoing, however, you may distribute or transfer, free of royalties, the Redistributable Files (and/or any Developed Desktop Software) to
- Backups.
You may make one copy the SOFTWARE solely for backup or archival purposes.
- General Limitations.
You may not reverse engineer, decompile, or disassemble the SOFTWARE, except and only to the extent that applicable law expressly permits such activity notwithstanding this limitation.
- Software Transfers.
You may not rent or lease the SOFTWARE. You may transfer the SOFTWARE to another computer, provided that it is completely removed from the computer from which it was transferred. You may permanently transfer all of your rights under the EULA, provided that you retain no copies, that you transfer all the SOFTWARE (including all component parts, the media and printed materials, any dates, upgrades, this EULA and, if applicable, the Certificate of Authenticity), and that the recipient agrees to the terms and conditions of this EULA as provided herein. Steema should be notified in writing of license transfers where the company of the recipient is different to that of the original licensee. If the SOFTWARE is an update or upgrade, any transfer must include all prior versions of the SOFTWARE.
- Termination.
Without prejudice to any other rights it may have, Steema may terminate this EULA and the Licenses if you fail to comply with the terms and conditions contained herein. In such an event, you must destroy all copies of the SOFTWARE and all of its component parts.
IV. DISCLAIMER and WARRANTIES
- Disclaimer
Steema's entire liability and your exclusive remedy under this EULA shall be, at Steema's sole option, either (a) return of the price paid for the SOFTWARE; (b) repair the SOFTWARE through updates distributed online. Steema cannot and does not guarantee that any functions contained in the Software will meet your requirements, or that its operations will be error free. The entire risk as to the Software performance or quality, or both, is solely with the user and not Steema. You assume responsibility for the selection of the component to achieve your intended results, and for the installation, use, and results obtained from the SOFTWARE.
- Warranty.
Steema makes no warranty, to the maximum extent permitted by law, either implied or expressed, including with-out limitation any warranty with respect to

Auth0, Inc. ("Auth0," "we," "us," or "our") owns and operates the website located at auth0.com (the "Site"). Please read these Terms of Service carefully. These Terms of Service state the terms and conditions under which you may use our services which are available through the Site (the "Services"). By using the Site, or any Services of Auth0, you acknowledge that you have read, understood, and
agree to be legally bound by these Terms of Service and you represent and warrant that you are at least 18 years old or older. If you are accepting these Terms of Service on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to the terms and conditions set forth herein. If you do not have such authority, or if you do not agree to any of these terms, then you are not permitted to use the Services. These Terms of Service may be updated by us from time to time without notice to you. If we change any material terms of these Terms of Service, we will message you at the email address(es) registered to your account as well as notify you at your next login to your account. The Services; End User Authentication Data
Through the Site, we offer authentication services on a subscription basis ("Subscription").
Auth0 collects and stores authentication data (including any Personal Information) for its customer’s end users ("End User Authentication Data") on behalf of its customers. Auth0 has no contractual relationship with its customer’s end users whose data it processes. The customer owns its End User Authentication Data. You hereby grant us an irrevocable, non-exclusive, worldwide, royalty-free,
sublicensable, transferable license to use your End User Authentication Data as reasonably necessary for us to provide the Services.
Through the Site, we offer authentication services on a subscription basis ("Subscription"). The features and functionality of the Services available to you will be based on the Subscription package you choose. We reserve the right to change, suspend, or discontinue all or any part of the Services and/or the Subscription packages at any time without prior notice or liability. Any new features that augment or enhance the current Services and/or the Subscription packages, including the release of new tools and resources, shall be subject to the Terms of Service. Your continued use of the Services after any such changes shall constitute your consent to such changes. You may access your End User Authentication Data via an Application Program Interface (“API”) and these Terms of Service govern
your use of the API. We reserve the right to change, suspend, or discontinue your access to the API (or any part thereof) without prior notice or liability.
We may, from time to time, require you to install software updates provided by us or by third parties to continue accessing the Services.
Registration
You are welcome to browse the Site as a visitor without providing any information to us. If you would like to use the Services, you will need to register as a user (a "Registered User") by creating an account. During the registration process, you will have to provide either a valid email address and password, or alternatively credentials to authenticate with a third party federated identity provider with whom you have an established account (e.g. GitHub, Google, Microsoft) which will in turn with your permission provide us the email address associated with that account. You will also be asked to provide a unique identifier for your account domain. You may also invite individuals who are authorized and permitted by you to use the Services ("Authorized Users") through your dashboard after you login
to your account at https://auth0.com. If you provide a list of Authorized Users to Auth0, Auth0 will enable such Authorized Users to use the Services using the company credentials. You will be responsible to Auth0 for any and all acts or omissions of the Authorized Users. You represent and warrant that all registration information you submit is truthful and accurate and you will maintain the accuracy of such information. You are solely responsible for the confidentiality of your user account, as well as for its use and misuse. You will promptly inform us of any need to deactivate a user name or password. We reserve the right to delete or change your user name and/or password at any time and for any reason.
Fees, Subscription Period, and Automatic Renewal
The Services are provided to you for a period of one (1) month, or such other period as agreed by the parties and set forth in an invoice (the "Subscription Period"), at our then-current pricing as set forth at https://auth0.com/pricing, or such other pricing as agreed by the parties and set forth in an invoice (the "Fees").
You agree to pay any applicable Fees. We may use a third party service provider ("Third Party") to process your payment in connection with your use of the Services. You warrant and represent that you are the valid owner or an authorized user, of the credit card you provide to such Third Party, and that all credit information is accurate.
It is important to note that when you sign up to use the Services, your Subscription Period will automatically renew on a monthly basis (or such other renewal period as agreed upon in an invoice) until you cancel it. You may cancel your Subscription Period at any time by deleting your account through your dashboard after you login to your account at https://auth0.com and the cancellation will take effect at the end of the current Subscription Period subject to the terms and conditions set forth in the Section titled "Effect of Termination." If you do not cancel, then your Subscription Period will automatically renew.
Unless otherwise agreed by the parties in an invoice, Fees shall automatically be adjusted upon each renewal of your Subscription Period to our then-current pricing. In addition, we reserve the right to change the Fees, or institute new or additional Fees, at any time upon notice to you.
Use of Personal Information
Your use of the Site and/or the Services may involve the transmission to us of certain personally-identifiable information ("Personal Information"). Our policies with respect to the collection and use of such Personal Information are governed according to our Privacy Policy (located at https://auth0.com/privacy, which is hereby incorporated by reference in its entirety.
License Grant; Restrictions on Use
- (a) License Grant. Subject to the terms and conditions set forth herein, Auth0 hereby grants to you and to the Authorized Users (if any) during the applicable Subscription Period, a limited, non-exclusive, non-transferable license, without the right to grant sublicenses, to use the Services.
- (b) Restrictions on Use. You will not (and shall ensure that any Authorized Users or third parties do not): (i) reverse engineer, decompile, disassemble, or otherwise attempt to discern the source code or interface protocols of the Services; (ii) modify, adapt, or translate the Services; (iii) make any copies of the Auth0 Intellectual Property (as defined below); (iv) resell, distribute, or sublicense the Services; (v) make the Services available on a "service bureau" basis; (vi) remove
or modify any proprietary marking or restrictive legends placed on the Auth0 Intellectual Property; (vii) use the Services in violation of any applicable laws or for any purpose not specifically permitted in these Terms of Service; or (viii) introduce into the Services any software, virus, worm, "back door," Trojan Horse, or similar harmful code. You may not use or access the Services if you are our direct competitor, except with our prior written consent. In addition, you may not access the Services for purposes of monitoring performance or functionality, or for any
other benchmarking or competitive purposes. In addition to the terms and conditions contained herein, you agree to abide by Auth0’s Community Guidelines set forth below.
Auth0 Intellectual Property
As between Auth0 and you, Auth0 shall own all right, title, and interest in and to (i) the Services including, without limitation, all source code, object code, operating instructions, and interfaces developed for or relating to the same; (ii) all modifications, enhancements, revisions, changes, copies, partial copies, translations, compilations, improvements, and derivative works of the foregoing, and all intellectual property rights therein; and (iii) any other materials available on the Site and/or the Services that are provided by or on behalf of Auth0 and all intellectual property rights therein (collectively, the “Auth0 Intellectual Property”). Except as expressly permitted in these Terms of Service, you have no rights in or to the Auth0 Intellectual Property.
User Generated Content
You may post and/or create content through the Services (hereinafter, "User Generated Content"). We cannot and do not review it all--we may act as a passive conduit for distribution of the User Generated Content. That said, we may remove User Generated Content that does not adhere to our Community Guidelines, or that is offensive or otherwise unacceptable to us in our sole discretion. Remember, once
you submit User Generated Content through the Services, including any personally identifying information, it may be accessible by other users. You retain all copyrights and other intellectual property rights in and to the User Generated Content. However, you hereby grant us an irrevocable, non-exclusive, worldwide, royalty-free, sublicensable, transferable license to use your User Generated Content as reasonably necessary for us to provide the Services.
Community Guidelines
By accessing and/or using the Services, you hereby agree that:
- You will not use the Services for any unlawful purpose;
- You will not upload, post, e-mail, transmit, or otherwise make available any content that:
- infringes any copyright, trademark, right of publicity, or other proprietary rights of any person or entity; or
- is threatening, tortious, defamatory, libelous, indecent, obscene, pornographic, sexually explicit, invasive of another’s privacy, or promotes extreme violence or cruelty to animals, or contains hate speech (i.e., speech that attacks or demeans a group based on race or ethnic origin, religion, disability, gender, age, veteran status, and/or sexual orientation/gender identity; or
- discloses any sensitive information about another person, including that person’s e-mail address, postal address, phone number, credit card information, or any similar information.
- You will not "stalk" or otherwise harass another use of the Services;
- You will not impersonate any person or entity or falsely state or otherwise misrepresent your affiliation with a person or entity; and
- You will not interfere with or attempt to interrupt the proper operation of the Services through the use of any virus, device, information collection or transmission mechanism, software or routine, or access or attempt to gain access to any data, files, or passwords related to the Services through hacking, password or data mining, or any other means.
- You will not abuse or send excessively frequent requests to our Services via the API.
Unsolicited Information
By submitting any unsolicited information and materials, including comments, ideas, questions, designs, and other similar communications (collectively, "Unsolicited Information") to us, you agree to be bound by the following terms and conditions. If you do not agree with these terms and conditions, you should not provide us with any Unsolicited Information. All Unsolicited Information will be
considered NON-CONFIDENTIAL and NON-PROPRIETARY. We, or any of our affiliates, may use such communication or material for any purpose whatsoever, including, but not limited to, reproduction, disclosure, transmission, publication, broadcast, and further posting. Further, we and our affiliates are free to use any ideas, concepts, know-how, or techniques contained in any communication or material you send to us for any purpose whatsoever, including, but not limited to, developing, manufacturing, and marketing products. AUTH0 MAY OR MAY NOT HAVE ANY CONTRACTUAL RELATIONSHIP WITH SUCH THIRD PARTIES AND AUTH0 WILL USE COMMERCIALLY REASONABLE EFFORTS TO RESOLVE ANY CONNECTIVITY ISSUES THAT MAY ARISE FROM CHANGES MADE BY SUCH THIRD PARTIES. IN NO EVENT SHALL

Indemnification
